SparkPath Terms of Use

These Terms of Use are effective as of May 13, 2026.

By using SparkPath, you are agreeing to these terms. Please read them carefully. If any translated version of this agreement conflicts with the English version, the English version shall prevail.

Welcome to SparkPath

SparkPath is provided by SparkPath Inc., located at 7984 Décarie Dr, Orleans, ON, Canada, K1C 2C4.

SparkPath is an online program that helps individuals create a successful future.

SparkPath is available to individual users who access the platform independently, and to educators and students who access the platform through licensed educational institutions. Some features and responsibilities differ depending on whether you are using SparkPath as an individual or as a student through an institution.

With SparkPath, individuals discover the challenges they would like to work on through an interactive, discovery-based learning process that opens their minds to exciting possibilities.

SparkPath also provides educators with access to tools that enable them to monitor the progress of their students, and to communicate with students to help them achieve their future readiness goals.

Electronic Communications

By using SparkPath, you agree to receive communications from us electronically, including notices related to your account, updates to the platform, and information about your use of SparkPath.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

Privacy Policy

SparkPath’s Privacy Policy explains how we treat your personal data and protect your privacy when you use SparkPath. By using SparkPath, you agree that your data can be used in accordance with our privacy policy.

Using SparkPath

Our Terms of Use are created for you, the users of SparkPath. If you have any questions or comments about our Terms of Use, please email jp@mysparkpath.com.

You agree not to use SparkPath for any purpose that is unlawful or prohibited by these terms. For example, you may not use SparkPath in any manner that could damage, disable, overburden, or impair SparkPath or interfere with any other party’s use and enjoyment of SparkPath. You may not obtain or attempt to obtain any SparkPath Content or information through any means not intentionally made available or provided for through SparkPath.

We may suspend or stop providing SparkPath to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

If you access SparkPath through an educational institution or organization, your use of the platform may be subject to that institution’s policies and agreements. Your information and content may be accessible to and managed by your institution. SparkPath is not responsible for the privacy or data handling practices of such institutions.

We may monitor use of SparkPath to ensure compliance with these Terms, to detect and prevent fraud or misuse, and to maintain the security and integrity of the platform.

Eligibility

By using SparkPath, you represent and warrant that you have the legal capacity to enter into this agreement.

If you are using SparkPath on behalf of an educational institution or organization, you represent that you are authorized to accept these Terms on behalf of that institution.

If you are under the age of 18, you may only use SparkPath under the supervision of a parent, guardian, or authorized educational institution.

Prohibited Uses

You agree not to use SparkPath to:

• upload or transmit unlawful, abusive, defamatory, threatening, or harassing content
• impersonate another person or misrepresent your affiliation with an organization
• distribute spam, unsolicited promotions, or fraudulent content
• upload malicious code, viruses, or harmful software
• attempt to gain unauthorized access to SparkPath systems or user accounts
• interfere with or disrupt the security or operation of SparkPath

SparkPath reserves the right to remove content or restrict access for violations of these rules.

AI-Powered Recommendations

SparkPath uses AI technology to generate personalized recommendations. These recommendations are automated and may not be accurate, complete, or appropriate for every user. Users should not submit sensitive personal information, such as health, financial, or identifying data, in free-text fields. 

AI-generated outputs are for informational purposes only and do not constitute professional advice or legally binding guidance.

Due to the nature of generative AI systems, SparkPath cannot guarantee that information submitted to AI-powered features will not be reflected in future outputs generated by the system. Users should exercise discretion when submitting information through AI features.

Cookies and Tracking

SparkPath uses cookies and similar technologies to collect information about your use of the platform. These technologies help us improve SparkPath and provide a better user experience. You may disable cookies through your browser settings, but some features may not function properly if you do.

Your SparkPath Account

To protect your SparkPath account, keep your password confidential. You are responsible for the activity that happens on or through your SparkPath account.
You shall notify SparkPath of any known or suspected unauthorized use of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password. You shall be responsible for maintaining the confidentiality of your password.

If you are an individual accessing SparkPath directly, you are responsible for keeping your account information up-to-date and for maintaining the security of your password. Student account responsibilities are described under the control of your educational institution.

If you are a student, please be aware that content you upload, submit, store, or send to SparkPath will be viewable by educators at your educational institution.

Payment Information

If you purchase SparkPath services directly, payments are processed by third-party payment processors. SparkPath does not store full credit card numbers. Payment processors handle payment information in accordance with their own privacy policies and security standards.

SparkPath reserves the right, in its sole discretion, to suspend, restrict, or terminate accounts that violate these Terms, misuse the platform, or present risk to the security or integrity of SparkPath or its users.

SparkPath may also remove or disable access to content that violates these Terms or applicable law.

Your Content

When you upload, submit, store, send, or receive content through SparkPath, you grant SparkPath a limited, non-exclusive, royalty-free license to use, host, store, reproduce, and process that content solely for the purpose of operating, improving, and providing SparkPath, in accordance with our Privacy Policy.

This includes AI-generated recommendations hosted in your account. SparkPath retains rights to store, display, and use AI-generated outputs as part of platform functionality.

You are solely responsible for the content you upload, submit, store, or transmit through SparkPath.

SparkPath does not control and is not responsible for user-submitted content, including any consequences resulting from the sharing or use of such content by other users or institutions.

Users are responsible for maintaining copies or backups of content they submit through SparkPath. SparkPath is not responsible for the loss or deletion of user content.

Third-Party Services and Links

SparkPath may include links to third-party websites, services, or resources for informational purposes.

SparkPath does not control and is not responsible for the content, policies, or practices of third-party websites or services. Accessing third-party services is at your own risk.

Intellectual Property

SparkPath is protected by copyright under Canadian, United States, and foreign laws and international treaties. Unauthorized use of SparkPath may violate copyright, trademark, and other laws.

Using SparkPath does not give you ownership of any intellectual property rights in SparkPath or the SparkPath Content you access.

You may not store, modify, reproduce, transmit, reverse engineer, create derivative works, or distribute a portion of the Content of SparkPath. This includes but is not limited to Challenge Cards. You may not print, redistribute, photoshop or copy the Challenge Cards.

You may not copy the design, layout, organization, or “look and feel” of SparkPath in any form or media. The systematic retrieval of data from SparkPath is also prohibited. You may access, download, and print materials from SparkPath solely for your personal and non-commercial use. No right, title, or interest in any of the Content contained in SparkPath is transferred to you as a result of accessing, downloading, or printing such Content.

If you submit feedback, suggestions, or ideas about how to improve SparkPath, we may use your feedback, suggestions, or ideas without obligation to you.

Data Storage

SparkPath is a Canadian company, and by using the platform, you consent to the processing and storage of your information in Canada, the United States, or other jurisdictions where service providers operate. Data protection laws in these jurisdictions may differ from your country of residence.

Users are responsible for complying with applicable laws and regulations in their jurisdiction when using SparkPath.

SparkPath makes no representation that the platform is appropriate or available for use in all jurisdictions.

Age Restriction

SparkPath is not intended for direct use by children under 13 without parental consent. Individuals under 13 may only access SparkPath through a licensed educational institution that has obtained appropriate parental consent. If we become aware of personal information collected directly from a child under 13 without consent, we will delete it promptly.

Warranties and Disclaimers

We provide SparkPath using a commercially reasonable level of skill and care. We hope you will enjoy using our product and services.

But other than as expressly set out in these terms, we do not make any specific promises about SparkPath. For example, we don’t make any commitments about the accuracy, completeness, currency, or reliability of the Content within SparkPath, the specific functions of SparkPath, or SparkPath’s reliability, availability, or ability to meet your needs. We provide SparkPath as is.

AI-generated recommendations and insights are provided ‘as-is.’ SparkPath does not guarantee accuracy, completeness, or suitability for any particular purpose. Users should not rely solely on AI outputs to make personal, educational, or professional decisions.

Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose, and non-infringement. To the extent permitted by law, we exclude all warranties.

Limitations on Liability of SparkPath Inc.

When permitted by law, SparkPath Inc. will not be responsible for lost profits, revenues, or data, financial losses, or indirect, special, consequential, exemplary, or punitive damages.
To the extent permitted by law, the total liability of SparkPath Inc., for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use SparkPath.

SparkPath will not be liable for failure or delay in performing obligations where such failure or delay results from causes beyond our reasonable control, including natural disasters, internet outages, government actions, labor disputes, or failures of third-party service providers.

Indemnification

You agree to defend and indemnify SparkPath Inc., its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities, and settlements including without limitation, reasonable legal and attorneys’ fees, resulting from or alleged to result from your violation of these Terms of Use.

Dispute Resolution and Arbitration

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the use of SparkPath shall be resolved through binding arbitration, rather than in court, except that either party may bring claims in small claims court where eligible.

Arbitration will be conducted in Ontario, Canada, unless otherwise required by applicable law or agreed between the parties. You agree to waive any right to participate in class actions or class-wide arbitration.

Changes to SparkPath

SparkPath Inc. may, at any time, make changes to SparkPath including its “look and feel,” features, and content.

We may modify or discontinue features of SparkPath at any time. Where appropriate or required by law, we may provide notice to users or educational institutions of significant platform changes. 

In the event of a sale, merger, or transfer of all or part of our business, users may be notified and given an opportunity to opt out where required by law.

If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.

Changes to Our Terms of Use

We may modify or update these Terms of Use from time to time, so you should review this page periodically. If we make a material change to these Terms of Use with respect to how we collect and use your personal information, we will provide at least 30 days’ prior written notice to you by email to the email address specified in your account.

You are responsible for ensuring that we have an up-to-date, active, and deliverable email address for you and for periodically visiting these Terms of Use to check for any changes. Similarly, educational institutions that license SparkPath for their students will be notified by email of material changes to our Terms of Use at least 30 days prior to any changes.

About these Terms

These Terms of Use shall be governed by the laws of the Province of Ontario, Canada. If an applicable law is in conflict with any part of the Terms of Use, the Terms of Use will be deemed modified to conform to the law. The other terms will not be affected by any such modification.

If it turns out that a particular term is not enforceable, this will not affect any other terms.

If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).

You may have other agreements with SparkPath Inc. Those agreements are separate and in addition to these Terms of Use. These Terms of Use do not modify, revise, or amend the terms of any other agreements you may have with SparkPath Inc.
